• Administrative support for interstate commerce compliance
• Payment processing for federal and state fees
• Notification services for upcoming deadlines

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

6. Subscription and Payment

6.1 Subscription Plans

Access to the Services requires a paid subscription. Subscription plans, features, and pricing are available on our website or upon request.

6.2 Payment Terms

• Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise agreed)
• All fees are non-refundable unless otherwise stated in writing
• You authorize us to charge your payment method for all fees incurred
• Failure to pay may result in suspension or termination of your account

6.3 Taxes

You retain all ownership rights to the data and content you upload to the Platform ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide license to use, store, and process your User Content solely for the purpose of providing the Services to you.

Any feedback, suggestions, or ideas you provide to us regarding the Services become our property, and we may use them without restriction or compensation to you.

9. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This obligation does not apply to information that:

• Is or becomes publicly available through no fault of the receiving party
• Was rightfully possessed before disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law or court order

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, timely, secure, or error-free
• Any defects or errors will be corrected
• The results obtained from using the Services will be accurate or reliable

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RENEW SERVICEE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• DAMAGES RESULTING FROM ANY THIRD-PARTY SERVICES OR CONTENT
• DAMAGES RESULTING FROM SERVICE INTERRUPTIONS OR DOWNTIME

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Renew Servicee and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Services
• Your User Content
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

15. Term and Termination

15.1 Term

These Terms commence when you first access the Services and continue until terminated in accordance with this section.

15.2 Termination by You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees.

15.3 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach these Terms
• You fail to pay any fees when due
• Your use of the Services poses a security risk or violates applicable laws
• We are required to do so by law

15.4 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and User Content
• You remain liable for all fees and charges incurred prior to termination
• Sections that by their nature should survive termination shall survive (e.g., warranties, limitations of liability, indemnification)

16. Dispute Resolution

16.1 Informal Resolution

In the event of any dispute, controversy, or claim arising from or relating to these Terms, the parties agree to first attempt to resolve the matter through good faith negotiations.

16.2 Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding.

You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.
